Summary
Builds an anti-self-dealing index to measure minority-shareholder protection against insider expropriation in seventy-two countries. Using a standardized related-party transaction, the study compares disclosure, approval, and litigation mechanisms and finds that the index predicts stock-market outcomes better than earlier anti-director-rights measures.
